This agreement has been created to protect our Brand, Products and YOU our valued partner. JUNK Brands places great value on the efforts of all resellers to represent our products and support their customers. Our agreement is intended to encourage competition for the sale of JUNK Brands products in a manner that is consistent with the long-term interests of our customers. We are sure that you share our commitment to customer satisfaction and as such, we ask that you acknowledge by signing this agreement.

It is a fluid document and we will ensure that we provide you with any updates to the agreement. Please read through thoroughly and confirm your agreement at the end of this form.

Selling Channels

Reseller shall promote and sell product in the channels that seller lists in this agreement. Reseller shall not promote, market, advertise, offer to sell or sell any product on or through any online marketplace or auction service (e.g. eBay, Amazon Marketplace, Jet.com or like websites) except as may be expressly consented to by JUNK Brands in writing and in advance, and it being understood that JUNK Brands may withdraw its consent at any time.

MAP Policy

As one of the world’s leading headband companies JUNK Brands is focused on maintaining high margins for our distribution network. In recognition of the investment in time, resources required for our high-quality products and to provide the level of customer service and product knowledge expected from our customers, JUNK Brands is committed to enforcing policies which allow our resellers to maintain high profit margins through the sale of our products. We have an established Minimum Advertised Price (MAP) Policy that an Authorized Reseller must follow for the advertising, marketing, and selling of all JUNK Brands products. All JUNK Brands Authorized Resellers must agree to the terms and conditions of the following MAP Policy.

JUNK Brand’s MAP Policy Guidelines for JUNK Brands Products

All advertised prices must be at or above MAP for all JUNK Brands products if a MAP price has been established by JUNK Brands. Resellers are not required to list prices in advertising.

Resellers are also responsible for ensuring their JUNK Brands pricing is at or above MAP on Internet search engines. Resellers are free to set the actual resale price of any product as long as it is at or above MAP price given the most recent publication of the price list. JUNK Brand’s MAP policy applies to our products on advertising placements, including but not limited to: print ads (inserts, magazines, newspapers, catalogs, mail order catalogs, etc.), broadcast (radio and TV), direct mail, faxes, internet placement with third parties(banner ads, broadcast emails, destination pages, third-party sites), internet placements on resellers own website, and any flyers, posters or coupons.

From time to time, JUNK Brands may permit resellers to advertise MAP Products at prices lower than the MAP price. In such events, JUNK Brands reserves the right to modify or suspend the MAP price with respect to the affected products for a specified period of time by providing advance written notice to all resellers of such changes. All resellers may run specials or discounts on JUNK Brands products as long as written approval is provided by JUNK Brands.

MAP pricing for all JUNK Brands products can be found in Exhibit A.

Pricing Statements

JUNK Brand’s MAP Policy does allow resellers to omit pricing entirely from advertisements and/or advertisement statements. However, if a price is listed in an advertisement, it must be at or above MAP.

Free Offers Associated with JUNK Brands Product

Free shipping and/or handling, 0% sales tax, or free financing promotions do not violate the MAP.

All JUNK Brands Products Price Matching Policies

Even though JUNK Brands will notify all resellers ahead of time of any discounts and promotional opportunities before they go live, price matching with JUNKbrands.com is always acceptable. Price matching with other resellers, whose price is below MAP policy, is acceptable on a one time basis. However, if the reseller has price lower than MAP policy, please contact JUNK Brands immediately. Advertised price must always be at MAP or higher.

Failure to Comply with the MAP Policy

At the sole discretion of JUNK Brands, failure to comply with MAP, intentional and/or repeated failure to abide, may result in the immediate loss of Authorized Reseller status and your ability to purchase all JUNK Brands products both direct as well as through distribution.

Term

By signing, you have agreed to this agreement for the duration of time that you are selling JUNK Brands product effective from the date written on page 6 in the Seller Agreement Confirmation.

JUNK Brands will utilize the following steps to resolve MAP violations:

1. Any and all dealers selling JUNK Brands products, which have not signed a JUNK Brands MAP Policy agreement, are classified as Unauthorized Resellers.

2. Distributors of JUNK Brands are required to provide a signed MAP agreement from any dealer selling JUNK Brands products. Unauthorized dealers should not be sold to or provided a feed from any distributor whatsoever.

3. Violations from Authorized Resellers will need to be corrected within 24 hours of notification.

   1. First Violation: An informal notification will be provided and MAP violations must be corrected within 24-48 hours.

   2. Second Violation: Authorized Reseller’s account will be put on hold until MAP violation is corrected.

   3. Third Violation: Authorized Reseller’s account will be put on hold for 60 days. After this duration, JUNK Brands will review and determine if account is to be reinstated.

   4. Fourth Violation: Should JUNK Brands decide to reinstate an Authorized Reseller who has previously demonstrated a third violation, yet violates a fourth time, the account will be unauthorized indefinitely.

Product Alteration

Adding, removing, or changing a JUNK Brands product via embroidery, screen print, or anything of the like is prohibited. All customization must be done by JUNK Brands only.

JUNK Brands will periodically send out marketing to the resellers to inform them on trending products, important changes, improvements to the order process, and other pieces related to the B2B business only. By signing the agreement below, it will subscribe you to our JUNK Wholesale marketing only.
